TERMS AND CONDITIONS

PLEASE READ THESE TERMS AND CONDITIONS (“TERMS”) CAREFULLY.  THESE TERMS APPLY TO YOU AND YOUR PURCHASE OF ANY PRODUCTS FROM CENTRAL VALLEY AG EXPORTS, INC. THROUGH ITS WEBSITE, LOCATED AT HTTP://CVAE-INC.COM (“SITE”), EXCEPT TO THE EXTENT THAT YOU HAVE ENTERED INTO A SEPARATE WRITTEN AGREEMENT WITH CENTRAL VALLEY AG EXPORTS, INC. THAT SUPERSEDES SOME OR ALL OF THESE TERMS.  THESE TERMS ARE SUBJECT TO CHANGE WITHOUT PRIOR WRITTEN NOTICE AT ANY TIME, IN CENTRAL VALLEY AG EXPORTS, INC.’S SOLE DISCRETION.  BY PLACING AN ORDER FOR PRODUCTS THROUGH THIS SITE, YOU AGREE TO BE BOUND BY AND ACCEPT THE TERMS AND CONDITIONS IN EFFECT AT THE TIME OF SUCH ORDER.  ALL SALES ARE EXPRESSLY CONDITIONED UPON YOUR AGREEMENT TO THESE TERMS.

Applicability:  These Terms apply between you and Central Valley Ag Exports, Inc. with respect to your purchase of products from https://cvae-inc.com.  These Terms shall apply and not be altered without the express written permission from Central Valley Ag Exports, Inc.

Sales from Central Valley Ag Export, Inc.’s website are limited to Customers who are at least 18 years of age.

Your Account:  When you make a purchase from this Site, you may create an account as part of the checkout process.  You are responsible for maintaining the confidentiality of your password and restricting access to your password and account.  You further agree to accept responsibility for all purchases and activities that occur under your account.

Acceptance of Order:  Your placement of an order on the Site does not necessarily assure that we will accept your order.  We reserve the right to refuse any order, or any portion of any order, in our sole discretion.  In addition, before accepting your order, we may require additional information if you have not provided all of the information required by us to process your order.  Once a completed order is received, authorization of your form of payment is received and we have accepted your order, we will promptly place your order in line for shipment.

Pricing:  All prices for products are shown in U.S. dollars.  All items are subject to availability and we reserve the right but are not obligated to impose quantity limits on any order, to reject all or part of an order, and to discontinue products without notice, even if you have already placed your order.  All prices are subject to change without notice, and you agree that taxes may be adjusted from the amount shown on the payment screens.

Payment Terms:  Credit card is the default form of payment that will be accepted for orders on Central Valley Ag Export Inc.’s Site.  We accept the following methods of payment:  VISA, MasterCard, Discover, or American Express.  We will accept orders made by fax or mail-in check or money order.  Your check must clear before shipping occurs.  All orders received are subject to acceptance by Central Valley Ag Exports, Inc. in our sole discretion.  All processed orders are subject to availability.  Central Valley Ag Exports, Inc. is not liable for delay in product shipment.

Upon approval of a completed credit application, reoccurring and corporate customers can make payment on the full amount within 30 days of the date the order is placed.  A 2% late fee will be charged if invoice payment is not received by the due date, in addition to a service charge of 1.5% per month (18% per year).  Returned checks are subject to a $30.00 surcharge and company check privilege will be reviewed.  Central Valley Ag Exports, Inc. reserves the right to revoke credit terms at any time.  Central Valley Ag Exports, Inc. reserves the right to withhold shipments, without notification, on overdue accounts.

Shipping Terms and Policies:  We endeavor to ship all orders for in-stock items within one (1) business day of Acceptance of Order.  Our standard business hours are Monday through Friday, 8:00 am to 5:00 pm, Pacific Time.  For domestic customers, standard shipping is typically via UPS and FEDEX and you should allow 5 to 7 business days for standard delivery once an order has been shipped.  For international customers, standard shipping is typically via UPS, FEDEX or DHL and you should allow 7 to 10 business days for standard delivery once an order has shipped.  We reserve the right to substitute another carrier of equal or lesser cost to deliver your order.  If expedited shipping is required, please select that as your shipping choice.

All shipping charges are your responsibility, unless waived by Central Valley Ag Exports, Inc.  Shipping charges will be included on your invoice and can be viewed prior to finalizing your order.  The shipping charge shown during the checkout process is subject to verification.  Shipping charges are subject to change without notice.

All orders are shipped FOB shipping point.  Title to products passes from Central Valley Ag Exports, Inc. to you upon shipment and we are not responsible for any shipping delays or problems once the product has been shipped.

Returns:  When you purchase our products, we want you to be completely satisfied so we have a 30-day return or exchange policy.  If you are unsatisfied with any purchase you have made from our Site for any reason, you may return it for a replacement or refund of the purchase price.  Please contact us via our Contact Us page or the information below for a replacement or refund of the purchase price within 30 days of shipment.  Please tell us your name, the order number, which items, how many you are returning, and the reason for the return.  We will reply to the email with instructions on how to send the items back to us.  Central Valley Ag Exports, Inc. does not take title to returned items until the item arrives at our warehouse.

Errors:  We attempt to be as accurate as possible; however, we do not warrant that all product descriptions, photographs, pricing or other information on our website is accurate, complete, current or error-free.  In addition, all weights and size dimensions are approximate.  If a product offered by us is not as described or pictured, your sole remedy is to return it in an unused condition for a refund.  In the event of an error, whether on the website, in an order confirmation, in processing an order, in delivering a product or otherwise, we reserve the right to correct such error and revise your order accordingly, or to cancel the order and refund any amount charged.  Your sole remedy in the event of an error is to cancel your order and obtain a refund.

Warranties:  Central Valley Ag Exports, Inc. products may be returned or exchanged in accordance with the Terms described above.  THIS IS THE ONLY GUARANTEE OR WARRANTY YOU GET FROM CENTRAL VALLEY AG EXPORTS, INC. RELATING TO THE PRODUCTS YOU PURCHASE FROM THIS SITE.  CENTRAL VALLEY AG EXPORTS, INC. MAKES NO OTHER, AND EXPRESSLY DISCLAIMS ANY AND ALL, REPRESENTATIONS, WARRANTIES AND CONDITIONS, WHETHER IN WRITING, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE, OR ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.  PRODUCTS ARE PROVIDED BY CENTRAL VALLEY AG EXPORTS, INC. “AS IS” AND WITHOUT WARRANTY OF ANY KIND.

Limitation of Liability:  CENTRAL VALLEY AG EXPORTS, INC. SHALL NOT BE LIABLE FOR LOST PROFITS, LOSS OF BUSINESS, OR OTHER CONSEQUENTIAL, SPECIAL, INCIDENTAL, INDIRECT OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY, EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS.  TO THE FULLEST EXTENT PERMITTED BY LAW, CENTRAL VALLEY AG EXPORTS, INC.’S LIABILITY SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID FOR THE PURCHASE OF PRODUCTS FROM THE SITE.  SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

Ambiguities or Uncertainties:  Any ambiguities or uncertainties in the drafting or interpretation of these Terms shall not be construed against the drafting party.

Governing Law:  These Terms and your purchase of products from Central Valley Ag Exports, Inc. through our Site shall be governed and construed in accordance with the laws of the State of California without resort to its conflict of law provisions to the contrary.  You agree that any action at law or in equity arising out of or relating to these Terms or your purchase of products shall be filed only in the state and federal courts located in Tulare County, California, and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction of such courts over any suit, action or proceeding arising out of these Terms.

International Transactions:  The following provisions apply to shipments to customers located outside of the United States.

> The 1980 United Nations Convention on Contracts for the International Sale of Goods shall not apply.

> Except as otherwise specified, terms of delivery are Ex-Works (within the meaning of INCOTERMS 2010) and all customs fees, import duties, cargo insurance, taxes and other charges imposed on or relating to the purchase or sale of Central Valley Ag Exports, Inc.’s products shall be paid by you in addition to the stated price.

> Prices include Central Valley Ag Exports, Inc.’s standard commercial export packaging which may vary depending on whether shipment is made by air, land or sea.  You will bear any additional expenses required to satisfy your specifications.  Packages will be marked in accordance with your instructions, if any.  Central Valley Ag Exports, Inc. shall furnish packing lists and such other information as may be necessary to enable your agent to prepare documents required for export shipment.  You shall supply Central Valley Ag Exports, Inc. with all necessary information and assistance for the most expeditious clearance of such shipment through customs.

> All shipments hereunder are subject to compliance with the U.S. Export Administration Act, as amended, regulations thereunder and all other U.S. laws and regulations concerning exports.  You agree to comply with all such laws and regulations concerning the use, disposition, re-export and sale of the products provided hereunder.
